How important is it to you to "get it right"? Just as, for decades, individual dentists buying individual practices (and the brokers representing those practices) used a simplistic (and often inaccurate) "% of collections based on a 3 year average and the zip code" method to determine purchase price, in today's dental M & A environment, the strong emphasis is placed on "x" multiple of EBITDA (especially when looking at larger practice opportunities).
EBITDA is important, and necessary, no doubt about it. That's always the case when considering small businesses for acquisition. And, dental practices ARE small businesses of course. However...when it comes to dental there are a number of other factors...intangibles...that are sometimes "missed" or "under emphasized" in the analysis that can give you the necessary insight and "confirmation" that your interest in an opportunity, along with the price your offer, is on the mark.
